    This Cleaning Contract ("Agreement") is entered into on  (the “Effective Date”) by and between the Client, legal name  ("Client") and the Contractor, legal name/company  ("Contractor") (collectively, the “Parties”).


    1. Scope of Services

    The Contractor agrees to perform residential and/or commercial cleaning services (the “Services”) for the Client at the following premises:

    

    


    The Services shall include, but are not limited to:

     Sweeping and mopping floors

     Vacuuming carpets

     Dusting and wiping surfaces

     Cleaning restrooms and kitchens

     Emptying trash receptacles

    The Contractor shall perform the Services in a professional, diligent, and timely manner and in accordance with industry standards.


    2. Service Schedule and Access

    The Services shall be performed on the following schedule:

     One-time only on

    The Client shall grant the Contractor and its authorized agents reasonable access to the premises during the agreed service hours. The Client may conduct reasonable inspections upon completion of services.


    3. Supplies and Equipment

     The Contractor shall furnish all cleaning materials, tools, and equipment necessary for the completion of Services.

     The Client shall provide the following materials and/or equipment: 

    All materials used shall be safe, appropriate for the surfaces being cleaned, and in compliance with applicable safety regulations.


    4. Compensation

    • Payments not received within  days of the due date shall incur a late charge of , accruing monthly until paid in full.

    5. Independent Contractor Relationship

    It is expressly understood and agreed that the Contractor is an independent contractor and not an employee, agent, or partner of the Client. Nothing in this Agreement shall be construed to create a joint venture, fiduciary relationship, or other association between the Parties.


    The Contractor shall be solely responsible for all taxes, withholdings, insurance, licenses, and permits arising from the performance of the Services.


    6. Confidentiality

    In the course of performing Services, the Contractor may have access to confidential, proprietary, or personal information belonging to the Client. The Contractor agrees to maintain strict confidentiality with respect to such information and not to disclose it to any third party without the Client’s prior written consent.


    7. Modifications to Agreement

    This Agreement may not be altered or amended except in a written document signed by both Parties. No verbal agreements shall be enforceable.


    8. Termination

    This Agreement may be terminated:

    • By Either Party: With written notice of at least  days.
    • For Cause: Immediately upon written notice if the other party breaches any material provision of this Agreement and fails to cure such breach within  days of receiving notice.


    Upon termination, all unpaid balances for Services rendered shall become immediately due and payable.


    9. Dispute Resolution

    Any controversy or claim arising out of or relating to this Agreement shall be resolved as follows:

    Each party shall bear its own legal costs and attorney’s fees unless otherwise awarded.


    10. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

    This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements, whether oral or written. If any provision is held invalid, the remainder of the Agreement shall remain in full force and effect.
